Senior Corporate Development Director Requisition 63187 Category Business Management Business Corporate-US Headquarters Division Ventures a Corp Technologies Location USA-MN-Minneapolis Relocation Relocation eligibility to be determined Job Type Full Time - Regular Exempt/Non-Exempt Exempt Shift First Travel Percentage 25 - 50% Experience Required 10+ years Education Required Bachelors Degree Position Description To serve as a partner with the Chief Development Officer, executive management and business unit management in evaluating and executing corporate development opportunities, including mergers and acquisitions, strategic alliances, joint ventures, minority investments, technology licenses, and divestitures, for which the Corporate Development group has primary responsibility. Lead the development of financial and operational models utilized to analyze the strategic and operational fit and economics of opportunities. Coach and develop Associates within the Corporate Development group and coordinate the workflow within the group. Work in close partnership with and manage the efforts of project teams. The project teams generally include personnel from various corporate and/or business unit functional departments including finance, tax, law, human resources and benefits, purchasing and procurement, information technology, quality assurance, and regulatory. Drive corporate development activity by supervising the performance of strategic and market analysis, financial analysis, deal structuring and negotiation, and due diligence coordination. Serve as the primary interface between the third party and Medtronic personnel and management, and Medtronic corporate personnel and management. Position Responsibilities • Coordinate workflow and manage, coach and develop Associates within the Corporate Development group with regard to each of the following responsibilities • Assess project requirements and secure necessary personnel and information resources for project team • Perform strategic and market analysis for proposed transactions, including assessment of Medtronic strategic objectives and proposed transaction relationship/fit with those objectives • Assure full understanding of the financial impact of proposed activities in relationship to current strategic plans and the annual operating plan • Perform company, market, competitor, and industry research and analysis and prepare profiles • Identify and assess opportunities and risks of proposed transactions, including financial, operational, and integration synergies and issues • Assure full understanding of the financial impact of proposed activities in relationship to current strategic plans and the annual operating plan through development of detailed financial analysis and valuation models • Oversee the development and analysis of transaction structures in cooperation with the Chief Development Officer • Serve as the focal point with third parties, lawyers, investment bankers, and Medtronic business unit and functional resources • Independently negotiate transactions • Present proposed transactions to appropriate decision making management groups • Manage analysis and due diligence processes including coordination of Medtronic functional and business unit personnel • Assist Chief Development Officer with Minority Investment Portfolio analysis and transactions • Partner with business unit personnel to identify strategic needs and potential target companies/technologies • Monitor markets, industries and organizations of potential strategic interest • Develop broad knowledge of medical technology industry and Medtronic businesses to further develop leadership potential Basic Qualifications Bachelor’s degree in finance, accounting or a related field. 10+ years accounting and finance job experience. 5+ years deal experience. Desired/Preferred Qualifications MBA Strong computer skills in spreadsheet, presentation and word processing software (Excel, PowerPoint, Word, etc.) Previous work experience in business development, strategic planning and/or operating management. 10+ years of business experience; including either direct financial experience or management responsibility including financial results; Medical device or health care industry experience; M&A experience. Effective leadership in the development of business strategies, tactics and solutions; experience in providing work direction and effective leadership to people and teams; advanced financial modeling and computer skills; strong leadership and delegation skills; excellent oral and written communications; effective interpersonal skills with the ability to influence and lead others who may or may not report to this position; ability to manage multiple projects and prioritize rapidly in a fast paced, dynamic environment with short deadlines; and ability to travel domestically and internationally with limited advance notice. Strong organization and prioritization skills with the ability to manage several projects simultaneously. Ability to perform under pressure and in a very dynamic environment. A high degree of initiative and motivation. Strong analytical and valuation skills. Strong interpersonal skills. Strong strategic thinking. An ability to work with all levels of management. Ability to understand complex technical product information.
